Terms and Conditions
Waiver of Liability and Release. You, on behalf of yourself and your agents, personal representatives, assigns, heirs, and next of kin (collectively “Releasors”), hereby release, discharge, and hold harmless International Resource Development, Inc. from any claims and/or liability, actual or threatened, accruing as a result of your participation in the service. This release does not extend to claims that cannot be released as a matter of law, but you expressly agree that this release is intended to be as broad and as inclusive as permitted by governing law
Updates of Terms. International Resource Development, Inc. reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new updates, workflows, tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at Terms of Service tab on the website. Violation of any of the terms will result in the termination of your Account. While International Resource Development, Inc. prohibits such conduct and Content on the Service, you understand and agree that International Resource Development, Inc. cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.
Account Terms. You must be a human. Accounts registered by “bots” or other automated methods are not permitted. You must provide your legal full name, company name, a valid email address, and any other information requested to complete the registration process. Your login may only be used by one person – a single login shared by multiple people is not permitted. You are responsible for maintaining the security of your account and password. International Resource Development, Inc. cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account). One person or legal entity may not maintain more than one account. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
Governing Law and Dispute Resolution. These Terms and Conditions are governed by and will be enforced according to the laws of the State of Ohio, United States of America, without regard to any conflicts of laws rules. Any claim or dispute arising out of or in connection with these Terms and Conditions must be brought exclusively in the federal and state courts located therein, and the parties submit to the personal jurisdiction of such courts for the purpose of litigating all such claims or disputes.
User acknowledges that the Software, Workflow and any /all procedures and knowhow included with Hardware is licensed and not sold. The previously mentioned intangible IP is licensed and provided solely in conjunction with the course purchased.
Confidentiality. “Confidential Information” means any non-public information provided by one party (“Discloser”) to the other party (“Recipient”) hereunder that is either conspicuously identified as confidential or proprietary. Confidential information includes but is not limited to all process, workflows and materials taught in these courses, trained or introduced to user. Confidential Information does not include information that: (a) is or becomes generally known to the public through no wrongful act of Recipient; (b) is or was lawfully received by Recipient from a third party without confidentiality obligations; or (c) can be established by written documentation to have been independently developed by Recipient without access to or use of the Confidential Information.
Recipient will maintain the Confidential Information in confidence using the same degree of care as it uses to protect its own similar information (but no less than reasonable care) and will be liable for any unauthorized use or disclosure of the Confidential Information, including by any of its personnel. The protections set forth herein will apply to any Confidential Information for the greater of 3 years from disclosure.
Intellectual Property Policy. You acknowledge that “International Resource Development, Inc.” and the International Resource Development, Inc. logo/symbol are registered trademarks of International Resource Development, Inc., and that International Resource Development, Inc. has the exclusive right to license and enforce those trademarks, along with its other intellectual property (collectively, “International Resource Development, Inc.”). International Resource Development, Inc. Intellectual Property includes without limitation all materials provided by International Resource Development, Inc. in connection with the program unless specifically agreed otherwise in writing. Without the prior written consent of International Resource Development, Inc., you understand that you may not use any International Resource Development, Inc. Intellectual Property, unless the use is authorized by these Terms and Conditions or constitutes a fair use under United States law.
